John service with the firm was under an agreement that the outside clients advice should be approved and signed by the partner of the firm. Other parties i.e. Southpac Bank and Freds parents are the parties provided loan to the Fred based on the business loan provided by John and his firm. Issues In the present situation, issue that have been observed are negligent misstatement made by John and his accounting firm, Abacus and associates, Liabilities of John and accounting firm towards the Southpac Bank and Freds parents for presenting the negligent misstatement. These issues have been raised because the business plan that was created by John in approval with Abacus and Associates did not contain true and complete information. In case of presentation of misleading document to Freds Parents by one party i.e. John can be held for vicarious liability because the disclaimer made in the letter was not a part of the business plan and agreement. Likewise, Abacus and Associates is vicariously liable to the Southpac Bank because the disclaimer in the forwarded letter was not a part of the loan application disclosures and document of business plan. Apparently, it has been clarified in the legislation that the party to the contract or agreement is required to disclose all the necessary facts including the exclusion liability clause. However, in no case the party is allowed to present the misleading or inappropriate information with the intention to deceive the other party. Conclusion Considering the facts and discussion on the present case, it can be concluded that John presented the negligent misstatement in business development plan whereas Abacus and Associates is vicarious liable for such misstatement. Mere presentation of exclusion of liability in the letter cannot waive the responsibility of presenting the appropriate and correct information in the business plan. Therefore, John and his accounting firm both are liable for representing negligent misstatement. Further, the misstated business plan was also presented to the Southpac Bank based on which the bank approved the loan to Fred. Therefore, John is directly liable to the Southpac bank whereas Abacus and Associates is indirectly liable to the bank being a superior respondent. On the contrary, Freds parents also provided loan amounted to $20,000 on the basis of the business development plan prepared by John and his firm. Although obtaining the loan from parents was not communicated to John, he is still in directly liable to present negligent misstatement. Everyone across the United Stated had tough times; especially families who tried to stick together to survive. American families were left out on the streets because they couldn’t pay their debts. Most had no other choice than to split up to find their own ways of surviving. It is a thoughtful choice and a difficult decision is made with a lucid, drug free mind. Abstinence is an expression of personal power and self- consciousness. Two reasons why abstinence is 100% effective is because if you follow it, there is no way that you can get an STD/STI, and there are no risks at all.If you decide not to have sex then there is no way you can get pregnant, choosing abstinence is basically the fact that you would constantly have to visit the doctor to get checked for diseases. Five ways to show a partner that you care without engaging in any sexual activity is to ? Talk to each other. ? Buy flowers for girlfriend/ wife ? Write a love poem ? Prepare romantic dinner ? Show affection with words.Two consequences of a person that doesn’t choose to be abstinent are that they could get an STD/STI, or the female could get pregnant. Abstinence is the most effective way of preventing an STD/STI or pregnancy, although it can be hard. You just have to think of it in the most positive way that you can, and understand that being abstinent is the best solution for you at a young age. Laura Esquivel’s â€Å"Like Water For Chocolate† is an epic novel set in Mexico at the turn of the twentieth century. It is a bittersweet love story between Tita and Pedro who through fate have kept them apart. The novel is divided into months and starts each chapter with a recipe from Tita’s kitchen. Throughout the novel we follow the seemingly doomed love affair between the two main protagonists of the book. Their affection for each other finally unites them in the afterlife at the end of the novel. The novel is a good example of how the Spanish culture has influenced the new world, or the American continent. Likewise, the novel also is a reflection of Spanish culture principally through its culinary practices. In pre-columbian times, the indigenous peoples of America, revered chocolate or cacao and was often even used as both currency and commodity of trade. The Olmecs, Aztecs and other ancient members of Maya culture regularly included the drink from the cacao beans in their rituals. But previously, the chocolate drink was reserved for the warriors and the elite and consumed only after and not during a   meal. When Columbus discovered America, these cacao beans were then sent back to Europe and was widely accepted there alongside other food products from America like the potato, tomato and other grains. â€Å"Like Water For Chocolate† vividly describes a typical rancheria in Mexico and here we get a glimpse of family life infused in long-held traditions as imposed by the grand matriarch. It is not uncommon for Spanish families to live in one roof even if the children are adults and married. It is quite the norm that married children and their spouses and children continue to live with either the family of the wife or husband. In the novel, Tita is forbidden to marry, being the youngest daughter, she is expected to take care of her aging parents and helping out with household tasks. A profusion of rituals and daily chores in the kitchen reveal to us readers the extent in which Spanish culture has been introduced to the new world. Spanish breakfast occurs twice in a day. The early breakfast consists of bread and coffee with milk eaten at home before one sets off to work or school. A second breakfast occurs anytime between 10 and 11 o’clock in the morning consisting of sweet rolls or biscuits and a tostada – a toasted bread smeared with butter and served on a saucer with olive oil for dipping. Sometimes the bread is served rubbed with tomato and garlic for a more robust flavor. Lunch then occurs at 2 pm which may consist of an omelette, a sausage, and finished with fruit. This repast may be eaten with coffee or beer. After lunch, the customary siesta or afternoon nap commences. This nap may last up to two hours, wherein businesses are closed, and will only open around 4pm. Thus is the unusual and laid-back attributes of the Spanish. In the evening, tapas is served, these are small servings of food or appetizers that may consist of vegetables, seafood, meat, chicken, sausages or just about anything that may be found in the kitchen. This hours are spent eating and drinking wine. Tapas bars abound in the more urban areas in Spain and are regular fare for the citizenry. By 11pm, a real dinner is served. A hearty full-course of salad, soup, entrà ©e, and dessert followed by coffee or an aperitif caps the day. Then off to bed goes the typical Spaniard in what was a typical day spent. The culinary traditions of Spain are steeped in their culture and daily life. The influence of these are far and wide covering the entire world as Spain set out to far reaches in search of wealth and territory. In their vast colonies, Spain brought these traditions with them and in turn imposed them on the local populace but also inter-mingling the local practices in turn. It is safe to conclude therefore that Spanish culinary traditions have been both recipient and donor. For Spain adapted to new world ingredients and manners of cooking. The novel masterfully exploits the culinary richness of Spain and makes these the springboard on which the plot so brilliantly revolves around. The recipes we read in the book are presented in such that their preparation all the way to their consumption is woven into the lives and motives of the characters involved. The recipe for chocolate and rose petals illustrates this. When Tita cooks the rose petals into the chocolate she is consumed with passion and unrelenting desire for Pedro – and eventually transforms all those who imbibe the drink into a frenzy of heat, lust, love and desire as well. Where Should I put my Quotation Marks Slate Magazine and the Rise of Logical Punctuation. On May 12, 2011, not one, but TWO of my friends and colleagues pointed me toward an article in Slate Magazine entitled, â€Å"The Rise of Logical Punctuation†. In the article, author Ben Yagoda explores the nuances of where to place periods and commas within quotations (inside or outside the quotation marks?).   Not long ago, I wrote an article touching upon much the same topic:   The Quandary of Quotation Marks (â€Å" â€Å").   My conclusion was that the British are much more logical than we are in the U.S., following the rule that punctuation goes inside the quotation marks only when it is part of the quotation.   How simple is that?   And yet I continue to follow the U.S. protocol. Slate Magazine itself, as well as The New York Times and the Washington Post, follow AP guidelines and put periods and commas inside the quotation marks.   But Yagoda references a Twitter post by Conan O’Brien, a Wikipedia entry on Frank Sinatra, and the website Pitchfork, all of which follow the British way, with periods and commas lying outside the quotation marks.   He also relates that his students largely refuse to follow the traditional U.S. rules even when they know they will be penalized for doing so.   I highly recommend taking a look at his article for an interesting exploration of why we choose to punctuate the way we do. Last week my blog explored the distinction between grammar purists and progressives in Steven Sawyer’s guest article, Top 10 Obsolete Grammar Rules.   It looks like we can add number 11.   According to Yagoda, despite the Chicago Manual of Style’s adherence to the traditional style, we may be fast on our way to an obsolete punctuation rule – another feast for progressives.   As Yagoda claims, â€Å"A punctuation paradigm is shifting.†Ã‚   Note:   even under the â€Å"new† rules, or the â€Å"new normal,† the period belongs inside those quotation marks because it was indeed part of the original sentence in Yagoda’s article.   Crystal clear, right? By the way, â€Å"new normal† was the phrase chosen as â€Å"Cliche of the Week† last week by Chris Pash in his blog. Do you choose to follow the progressive â€Å"new normal† when it comes to quotation marks?   Or will you remain a purist?   So far I’m sticking with the old fashioned way, but I feel a possible change erupting. Imperialism, the highest stage of capitalism, represents the stage at which a countrys consumers cannot buy all the products that have been produced, and additional markets must be sought after.
